Letter to the Wash-i-Bagos Membership from the Executive Board of Directors
This letter serves as the 60-day written notification to members of Wash-i-Bagos (WIB), the Washington State WIT Club, the intent to dissolve WIB as required in the “Dissolution of a WIT Club” document received from WIT National Headquarters.
The Decision to Dissolve
As you know, this decision was voted on by the Executive Board, and Chapter Presidents attending a conference call meeting February 23, 2019. This information was sent out to Chapter Presidents to forward to their members February 26, 2019. This is a critical time and thus the decision must be well informed and thoughtful.
The Executive Board and Chapter Presidents have exhausted all reasonable alternatives over the course of several meetings and outreach to Chapter members in efforts to continue with WIB. We had one individual that did step up for Treasurer; however, we did not have anyone that would be willing to run for the other offices going forward. These deliberations have been documented in official meeting minutes.
Our Board and Chapter Presidents must pick up and carry the burden of this difficult emotional process, coordinate, and follow through on each step in the Dissolution process.
The “Dissolution of a WIT Club” document also requires that WIB follows the Club bylaws requirement, as outlined:
Article 8 – Meetings and Voting,
8.3. A quorum, for the purpose of voting at general membership meetings, shall consist of a minimum of 20% of the members in good standing at the time the meeting is called to order. A quorum shall be certified by the Secretary at the start of any meeting.
8.4 All votes taken must be passed by a simple majority of the members attending the meeting at the time the first vote is taken. Members entering the meeting after the voting has commenced may not vote per Robert’s Rules of Order.
WIB members in good standing will vote on the Dissolution at the duly called meeting, Saturday, May 18, 2019, at the WIB Rally/Campout, in Cashmere, WA. The meeting is scheduled to begin at 1:00pm.
We will also follow the guidelines in the “Dissolution of a WIT Club” by determining how any funds remaining in the Treasury should be distributed.
As you may know, our 2nd Vice President resigned, effective June 1, 2018, our Secretary resigned in July 2018, and our Treasurer resigned on February 20, 2019. (We installed a new Secretary in September 2018.) Our 1st VP is moving out of state, and our former Treasurer is moving to Mexico. Our Immediate Past President no longer lives in WA state and will not be available in the next Club year, June 1, 2019 to May 31, 2020. We are also losing a former Board member that is a Key Coordinator, to a move out of state. The loss of this tenured leadership and the unwillingness or lack of availability of others has played a role in the decisioning.
